1. Introduction

By accessing or using our Service, you agree to these Terms of Use.

For the purposes of this Terms of Use:

"Service": Sherlo, including all its features, functionalities, and associated services
"User": Any individual or entity that creates an account and uses the Service. A User can be a member of multiple Teams simultaneously and can have different roles (Team Owner or Team member) in different Teams
"Team Owner": The User who creates a Team, manages Team membership, and is responsible for payment and billing
"Team": A group of Users who have access to shared Projects within the Service, managed by a Team Owner
"Project": A workspace within a Team that contains Tests and related testing data for a specific application. Multiple Projects can exist within a single Team
"Build": A compiled version of a React Native application submitted to the Service for testing purposes
"Test": An automated evaluation process within a Project that compares Snapshots between its Builds to detect visual changes
"Snapshot": A comprehensive capture of a specific view or state within a Build, including the view's screenshot, component metadata (such as dimensions, colors, fonts, and layout information), and other UI-related properties
"Review": A piece of user-generated content that contains a decision on Snapshot correctness (approved or reported) and optional comments providing feedback or explanations
"Subscription": A paid plan that determines Team access to Service features, Snapshot allocations, and historical data retention periods.

Sherlo is a service operated by Devine, a company registered in Poland under registration number PL8522703785. Our registered office is located at ul. 5 Lipca 15/11, 70‐376 Szczecin. For inquiries, please contact us at contact@devine.team.

2. Integration with the App

To provide a seamless experience, Sherlo integrates closely with your React Native projects:

Our @sherlo/react-native-storybook dependency integrates with your React Native application to allow Sherlo to control your Storybook when performing visual regression testing. Both this dependency and the accompanying sherlo CLI are open-source, allowing you full visibility into client-side operations. The source code is available for review at our GitHub Repository.

Build submissions are handled transparently via the CLI, ensuring that you can verify all client-side operations. Use of the integration tools is subject to these Terms of Use and our Privacy Policy, ensuring that your interactions remain secure and compliant with our guidelines.

3. Build Processing and Security Requirements

Build Processing

When you submit a Build to Sherlo through the CLI the Build is stored in our infrastructure. For each Project, only the most recent Build is retained; any previous Builds are removed once they are no longer needed. The Build is then transferred to our dedicated testing infrastructure for the duration of the test. Once the test is complete, the Build is removed from the testing environment.

Security Requirements

Ensure your Builds:

Are solely for testing purposes and free from sensitive information.
Do not include production data or authentication tokens.

Follow our build requirements.

4. Data Storage and Analytics

Sherlo’s infrastructure is designed to ensure reliability, performance, and security:

Hosting and Storage: We utilize Amazon Web Services (AWS) as our primary data storage solution. This ensures that all Build files, Snapshots, and associated data are stored securely and reliably with appropriate access controls.
Dedicated Testing Infrastructure: A separate, dedicated infrastructure handles Build processing to maintain performance and isolation from other data operations.
Analytics and Error Tracking: For performance monitoring and error tracking, we use third-party analytics services (see our Privacy Policy for the current list) and Sentry. These services help us diagnose issues and continuously improve the Service.

5. Data and Intellectual Property Rights

Data Ownership and Processing

You retain full ownership of all content you provide to the Service. This includes any Builds, Snapshots, and Reviews you create. While we use this data to facilitate testing and improve our services, the underlying ownership remains with you. We store and process your Builds solely for testing purposes, and we capture Snapshots (which include screenshots and relevant metadata) to help you identify any visual differences. In addition, we collect analytics data solely to enhance performance and ensure a smooth user experience.

Sherlo Intellectual Property

Software and Code: All Sherlo software and source code.
Brand Assets: Sherlo name, logo, and trademarks.
Design and Interface: The look and feel of our Service.
Documentation: All related materials.

Your License

By subscribing to Sherlo, you receive a limited, non-transferable license that allows you to fully leverage our Service. This license grants you the ability to create and manage Teams and Projects, as well as run Tests as part of your subscription plan. In return, we ask that you adhere to these Terms of Use, pay your fees on time, and use the Service within the permitted limits. We kindly remind you not to redistribute the Service or misuse its functionalities.

In addition to the above, you grant us the right to store and process your content in order to deliver the best possible experience. We also appreciate and welcome your feedback, which may be used to further improve the Service, without any obligation for compensation.

Prohibited Actions

To ensure a secure and fair environment for all our users, please adhere to the following guidelines:

Regarding the Service: Users must not copy or modify any aspect of the Service, nor should they attempt to reverse engineer our proprietary closed-source code. It is essential to keep all legal notices intact and refrain from using our brand assets without proper permission. Additionally, please avoid submitting any Builds that could compromise the stability or security of Sherlo’s infrastructure.

Regarding Your Account: For your security and that of others, do not share your account details or create multiple accounts to bypass usage limits. Uploading any content that is illegal or harmful is strictly prohibited, and gathering personal information about other users is not allowed.

Regarding Security: The use of unauthorized automated scripts is forbidden, and any interference with the Service’s security measures is taken very seriously. Furthermore, please ensure that your activities do not infringe upon the rights of third parties.

6. Payment Terms and Conditions

Subscription Plans

Sherlo offers four subscription plans to meet different needs: Free, Starter, Pro, and Enterprise. Each plan provides different features, Snapshot quotas, and access levels. For the most up-to-date details on plan features, Snapshot allocations, and pricing, please visit sherlo.io.

Billing Cycle:

All paid subscriptions are billed monthly.
Payment is required in advance at the start of each billing period.
Subscriptions automatically renew each month unless canceled before the renewal date.

Payment Processing

All payments are securely processed through Stripe, our trusted payment processor:

Accepted Methods: We accept major credit and debit cards, along with additional payment methods available based on your location.
Currency: All prices are displayed and billed in USD.
Taxes: VAT is added where applicable based on your location. Business customers may provide a VAT number to qualify for tax exemption.
Card Security: Sherlo does not store full credit card details. Payment information is securely handled by Stripe.

Payment Failure Policy

If a monthly payment fails, the following process applies:

Smart Retry: Sherlo uses Stripe's smart retry logic to automatically attempt payment recovery over a 14-day period.
Account Status During Retry:
- You will receive the information in the web app that your account is inactive due to payment failure.
- Your Team cannot run new Builds or Tests during this period.
- Existing data remains visible and accessible for review.
After 14 Days: If payment is not successful after 14 days, your account will be automatically downgraded to the Free plan.
Free Plan Limitations: Please refer to sherlo.io for details on what the Free plan includes.

Plan Changes

Upgrades: Take effect immediately with prorated billing for the current billing period. You will be charged the difference for the remainder of the month.
Downgrades: Take effect at the next billing period. You will retain access to your current plan's features until the end of the current billing cycle.
Usage Adjustments: No special handling is required when reducing usage. Simply downgrade your plan as needed.

Cancellations and Refunds

Canceling Your Subscription:

How to Cancel: You can cancel your subscription at any time through your account settings.
After Cancellation: Auto-renewal stops immediately, but your access to the Service continues through the end of the current paid period.

Refund Policy:

Full Refund: Available if you request a refund within 14 days of your initial subscription purchase and no Snapshots were used during that time. This 14-day window applies only to your first subscription purchase, not to subsequent recurring billing periods. Refunds are typically processed within 5 to 10 business days.
Partial Refunds: In rare cases of significant service failures at Sherlo's discretion, partial refunds may be considered on an individual basis.
No Refunds For:
- Unused portions of monthly subscriptions.
- Accounts that have been suspended due to violations of these Terms of Use.
- Subscriptions where Snapshots have been used.

Price Changes

Sherlo reserves the right to change subscription pricing at any time:

Price Protection: When you subscribe to a paid plan, you will retain that price indefinitely, even if we change prices on our website. New pricing only applies to new subscribers.
Pricing Unification Events: Occasionally, we may unify pricing for all users to align with current website prices. In such cases:
- Advance Notice: You will be notified 3 months in advance via email to your registered address.
- Monthly Subscriptions: The new price will apply at your next billing period after the 3-month notice period.
- Yearly Subscriptions: You will continue to pay your current price for the remainder of your paid subscription period. The new price will only apply at your next annual renewal after the notice period.

7. Service Level and Availability

Sherlo strives to provide high availability and reliable service, but please note the following:

"As Is" and "As Available": The Service is provided on an "as is" and "as available" basis, without guarantees of uninterrupted access or error-free operation.
No Uptime Guarantees: While we work to maintain optimal uptime, we do not offer specific uptime percentage guarantees or service level agreements (SLAs).
Maintenance and Downtime: Occasional downtime may occur for maintenance, updates, or unforeseen technical issues.
Support: We provide support to our users but do not guarantee specific response times or resolution timeframes.

We are committed to maintaining and improving the Service, but we cannot guarantee that it will always be available or meet all your specific requirements.

8. Security and Data Breach

Security Measures

Sherlo implements reasonable technical and organizational measures to protect your data:

Data Protection: We use industry-standard security practices to safeguard your information.
Access Controls: Limited access to data is granted only to authorized personnel.
Regular Updates: We continuously update our security measures to address emerging threats.

Important Security Notes

No System is 100% Secure: Despite our best efforts, no system can guarantee absolute security. You acknowledge that data transmission over the internet carries inherent risks.
User Responsibility: You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
Account Security: Use strong passwords and do not share your account access with unauthorized individuals.

Data Breach Notification

In the event of a data breach that compromises your personal information:

Prompt Action: We will act promptly to investigate and mitigate the breach.
User Notification: We will notify affected users in accordance with applicable laws and regulations.
Remedial Guidance: Where appropriate, we may provide guidance on protective actions you can take, such as changing your password.

9. Policy Enforcement

Sherlo may take action if you violate the Terms of Use or engage in harmful activities. Possible Consequences are suspension or termination of your account, removal of your content, and legal action if necessary.

You will receive email notifications if any violations occur with 5 business days to appeal.

10. Termination and Data Handling

You may cancel your subscription at any time through your account settings. Your cancellation will become effective at the end of the current billing period, and you remain responsible for any fees incurred until that time.

Sherlo reserves the right to terminate or suspend your access to the Service under the following circumstances:

If you violate our Terms of Use. For any reason, provided that you receive a 30-day notice. In cases of non-payment, with a 14-day notice. Immediately, if required by legal or regulatory authorities.

Post-Termination

Once your service is terminated, please note the following:

Immediate Cessation: You must immediately stop using the Service.
Data Export: An on-demand data export will be available for a period of 30 days, allowing you to retrieve your information. More information about data export can be found in the Privacy Policy.
Data Deletion: After termination, all data (including Projects, Reviews, Snapshots, Builds, and Tests) will be permanently removed after 30 days. Similarly, team-specific settings will be deleted within the same timeframe. Once this 30-day period has elapsed, data deletion is complete and irreversible.
Outstanding Fees: Any outstanding fees must be settled within 30 days of termination.

11. Warranty Disclaimer and Limitation of Liability

Warranty Disclaimer

We provide the Service "as-is" and "as-available," without any guarantees regarding uptime, availability, or performance. Sherlo makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of Liability

To the maximum extent permitted by law:

Liability Cap: Sherlo's total liability for any claims arising from or related to the Service is limited to the total fees you have paid in the three months immediately preceding the incident. For yearly plans, this is calculated as one-fourth of your annual subscription fee.
Excluded Damages: Sherlo is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or business opportunities
- Loss of data or information
- Business interruption
- Loss of goodwill or reputation
- Any other intangible losses

These limitations apply regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if Sherlo has been advised of the possibility of such damages.

Indemnification

You agree to indemnify, defend, and hold harmless Sherlo and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

Your misuse of the Service
Your violation of these Terms of Use
Your violation of any third-party rights, including intellectual property rights or privacy rights
Any content you submit to the Service

12. Legal Provisions

Governing Law

These Terms of Use are governed by and construed in accordance with the laws of Poland, without regard to its conflict of law principles.

Jurisdiction

Any disputes arising from or relating to these Terms of Use or the Service shall be subject to the exclusive jurisdiction of the courts of Poland.

Force Majeure

Sherlo shall not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to:

Acts of God (natural disasters, severe weather, etc.)
War, terrorism, or civil unrest
Government actions or regulations
Labor disputes or strikes
Failures of third-party services or infrastructure
Internet or telecommunications failures

Severability

If any provision of these Terms of Use is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Sherlo regarding the Service and supersede all prior or contemporaneous communications, agreements, or understandings, whether written or oral.

Assignment

Sherlo's Rights: Sherlo may assign, transfer, or delegate its rights and obligations under these Terms of Use to any third party without your consent, including in connection with a merger, acquisition, reorganization, or sale of assets.
Your Rights: You may not assign, transfer, or delegate your rights or obligations under these Terms of Use without Sherlo's prior written consent. Any attempted assignment without consent shall be void.

13. Changes to Terms

We may update these Terms of Use at any time. Changes become effective when posted on sherlo.io, unless stated otherwise. We will notify you of significant changes through in-app popups and email to the Team Owner's registered address. Continued use of the Service after changes means you accept the new Terms.

If you don’t agree, stop using the Service before changes take effect. For paid subscriptions, you may cancel and get a pro-rated refund for unused time if you don’t accept the new Terms.
